1. Who we are and what this agreement is#
1.1 Dion is operated by [PT name], a company established under the laws of the Republic of Indonesia, NIB [NIB], with its address at [registered address] ("Dion", "we", "us").
1.2 These Terms of Service ("Terms") form a binding agreement between you and Dion when you create an account or use the Dion member app, the Dion host workspace, the Stage Display, or any related website or service (together, the "Platform").
1.3 These Terms include, by reference, the Terms & Conditions (tickets, fees, refunds, payouts and plans), the Privacy & Safety Policy and the Community Guidelines. If they conflict, these Terms prevail, except that the Terms & Conditions prevail on money matters.
1.4 This agreement is made in Bahasa Indonesia and English. If the two versions differ, the Bahasa Indonesia version prevails.
2. Definitions#
- Member: anyone with a Dion account who joins Communities, books Activities or uses the member app.

- Community: a group page created by a Host on Dion, public or private.
- Activity: an event, session or experience a Host publishes on Dion, free or paid.
- Ticket: the right to attend an Activity, issued through Dion, including free RSVPs and approved places.
- Content: anything users post or upload, such as text, photos, posters, messages, feedback and Drive files.
- Partner: a venue, vendor or brand offering services, sponsorship or promotions through Dion.
3. Eligibility and accounts#
3.1 You must be at least 18 years old and legally able to enter into contracts. We may ask you to confirm your age and may close accounts that don't meet this rule.
3.2 You must give accurate information and keep it up to date. You may hold one personal account. Do not impersonate anyone or create accounts for others without their permission.
3.3 You are responsible for activity on your account. Keep your sign-in details secure and tell us at [support email] if you suspect unauthorised access.
3.4 A Host account acting for an organisation confirms it has authority to bind that organisation. The organisation is responsible for its teammates.
4. Dion's role#
4.1 Dion provides technology that lets Hosts run Communities and sell Tickets, and lets Members find and join them. Dion is not the organiser, venue or provider of any Activity unless we clearly say so on the Activity page.
4.2 The contract for an Activity is between the Member and the Host. Dion handles booking and payment collection on the Host's behalf, as described in the Terms & Conditions.
4.3 We may review, label, limit or remove Communities, Activities or Content, but we are not required to monitor everything and we do not verify every Host or Activity. A "Verified" badge means Dion staff checked the Host's identity documents. It is not an endorsement of any Activity.
5. Member terms#
5.1 Booking. When you book, you agree to the Activity's price, fees, rules and the Host's requirements shown before payment.
5.2 Attendance. Bring the QR Ticket shown in the app. Hosts may refuse entry to anyone without a valid Ticket, anyone breaking the Community Guidelines or venue rules, or anyone under the required age for that Activity.
5.3 Gifting. You may gift a Ticket through the app's claim link. Once claimed, the original Ticket stops working and the new holder takes your place. The purchase stays yours for refund purposes. Reselling Tickets for more than face value is not allowed.
5.4 Private Communities and secret locations. Some Activities show the exact venue only to Ticket holders. Don't share it with people who don't hold a Ticket.
5.5 Activity chats and photos. Activity group chats are for Ticket holders. They close 7 days after the Activity ends and are deleted after 30 days.
5.6 Your own safety. Activities happen in the real world. Use your judgement, follow the Host's and the venue's instructions, and contact local emergency services (112) if you are in danger.
6. Host terms#
6.1 Your responsibility. You are responsible for every Activity you publish: an accurate listing, lawful operation, venue permissions, any licences or permits (including for alcohol, sports or public gatherings), reasonable safety measures, insurance where appropriate, and delivering what you advertise.
6.2 Age limits. Where an Activity serves alcohol or is otherwise age-restricted by law, you must set and enforce the minimum age (21+ for alcohol) and check ID at the door.
6.3 Payments stay on Dion. Everything sold on Dion must be paid through Dion. You must not ask Members to pay by bank transfer, cash or another channel for a Ticket sold on Dion, and you must not label an Activity "free" and then charge for entry. Listings that do so are flagged automatically and may be removed.
6.4 Member data. You receive Members' names, handles, ticket and check-in details, and feedback to run your Activities. You may use this data only to run your Community and its Activities, and must protect it as required by UU PDP. You may not sell it, use it for unrelated marketing, or move it outside Dion except through the export tools Dion provides. You are responsible for your teammates and co-hosts.
6.5 Your team. The Community Owner controls billing, deleting the Community and data exports. You choose teammates and their roles, and you are responsible for what they do on the Platform. Remove access promptly when someone leaves.
6.6 Co-hosting. When you co-host with another Community, the agreed revenue split is binding between you once accepted in the app. Each Community remains responsible for its own team.
6.7 Messaging. Send messages only to Members of your Community or Ticket holders of your Activities. Messages must follow the Community Guidelines and the Member's notification preferences. Email marketing must include an unsubscribe option, which Dion provides.
6.8 Cancellations and changes. If you cancel an Activity, every Ticket is refunded in full as set out in the Terms & Conditions. Material changes to date, venue or content must be announced to Ticket holders, who may then request a refund.
6.9 Plans and limits. Your plan sets your features and limits. Dion may enforce limits automatically.
7. Content#
7.1 You keep ownership of your Content. You give Dion a non-exclusive, worldwide, royalty-free licence to host, display, adapt for format, and distribute it on the Platform and in Dion's promotion of your Community or Activity, for as long as it is on the Platform plus a reasonable period to remove it from backups and promotions.
7.2 You confirm that you have the rights to everything you upload, including permission from people shown in photos. Members may upload photos to an Activity's shared Drive folder only when the Host allows it.
7.3 Do not post anything unlawful under Indonesian law, anything that infringes others' rights, or anything that breaks the Community Guidelines. We may remove such Content and must act on lawful orders from the Indonesian authorities.
8. Acceptable use#
You must not: misuse the Platform to commit fraud or money laundering; scrape or bulk-collect data; interfere with security or try to get around access controls, rate limits, plan limits or the payment flow; use bots or fake accounts; reverse-engineer the Platform except as the law allows; or use the Platform for anything unlawful.
9. Safety reports, enforcement and appeals#
9.1 Anyone can report a person, Community or Activity from the app. Reports are reviewed by Dion's safety team. Hosts see that a report is open but not who filed it or its details.
9.2 We may warn you, limit features, hide or pause an Activity, suspend a Community or close an account if you break these Terms, the law or the Community Guidelines, or to protect people's safety. When we pause an Activity, existing Ticket holders keep their Tickets until the case is decided.
9.3 We will tell you the reason, unless the law or someone's safety prevents it, and you may appeal through Support within 14 days. A different staff member reviews appeals. Suspending a Community needs approval by two Dion staff members.
10. Fees#
Fees, payment terms, refunds and payouts are set out in the Terms & Conditions. We will give at least 30 days' notice before raising a subscription price or a platform fee.
11. Third-party services#
Payments are processed by licensed payment providers. Sign-in may use Google. Their own terms also apply, and Dion is not responsible for their services.
12. Disclaimers and limitation of liability#
12.1 The Platform is provided "as is". To the extent the law allows, we do not promise that it will always be available or error-free, or that any Activity, Host, Member or Partner will act as described.
12.2 To the extent the law allows, Dion is not liable for loss or injury arising from an Activity, from the conduct of Hosts, Members or Partners, or from indirect or consequential loss.
12.3 If Dion is liable to you, its total liability in any 12 months is limited to the greater of the fees you paid Dion in that period or Rp1,000,000.
12.4 Nothing in these Terms limits liability that cannot be limited under Indonesian law, including under UU 8/1999 on Consumer Protection, or for Dion's gross negligence or wilful misconduct.
13. Indemnity#
Hosts will compensate Dion for claims, fines and reasonable costs caused by their Activities, their breach of these Terms or the law, or their misuse of Member data.
14. Closing your account#
14.1 Members can delete their account in Profile. Hosts can delete a Community in Community settings; only the Owner can do this. You can't delete an account or Community while you have upcoming paid Activities or a payout or refund that hasn't finished.
14.2 After deletion we keep only what the law requires, as described in the Privacy & Safety Policy.
14.3 We may close accounts as described in section 9, or with 30 days' notice if we stop offering the Platform.
15. Changes to these Terms#
We may update these Terms. For material changes we will notify you in the app or by email at least 14 days before they take effect, and ask you to accept them when you next sign in. If you do not agree, you can close your account before the new Terms take effect.
16. Governing law and disputes#
16.1 These Terms are governed by the laws of the Republic of Indonesia.
16.2 Contact [support email] first. If a dispute is not resolved within 30 days, either party may refer it to mediation. If that fails, it goes to the South Jakarta District Court. As a consumer, you may also go to the Consumer Dispute Settlement Agency (BPSK) or another forum the law gives you.
